Terms of Use

Welcome to Snifty! These Terms of Use ("Terms") govern your use of the Snifty mobile application ("App") provided by Equiti Ventures LLC ("we," "our," or "us"). By using Snifty, you agree to these Terms. If you do not agree, please do not use the App.

1. Purpose

Snifty is designed as an entertainment app for personal, non-commercial use. It does not guarantee any specific functionality, outcome, or results. AI Captions and other features rely heavily on reliable high-speed internet access and non-availability of such a connection may result in inconsistent generation of image analysis and captions.

2. License Grant

• We grant you a limited, personal, non-exclusive, non-transferable, revocable license to download and use Snifty in accordance with these Terms.
• You may not distribute, license, sell, modify, reverse engineer, or create derivative works based on Snifty without our prior written consent.
• Snifty and all associated intellectual property rights are the exclusive property of Equiti Ventures LLC.
• No license or right is granted to you to use any of our trademarks, service marks, logos, or other brand features.

3. Image Analysis and External Processing

Snifty uses external APIs and platforms to analyze images for features such as face detection, caption generation, tagging, and background recognition. By using the App, you consent to the transfer and processing of your images (in base64 or similar formats) by third-party vendors solely for these purposes. We do not guarantee the accuracy, reliability, or availability of third-party services.

4. User Content

• You retain ownership of all images and content you upload or process through Snifty.
• By submitting content, you grant Equiti Ventures LLC a limited, non-exclusive, royalty-free license to process, display, and store the content solely for operating the App.
• We do not claim ownership over your images and do not use them for marketing, advertising, or resale.

5. Payments

All payments (if any) are final and non-refundable. Prices and payment terms may be updated at our discretion. Continued use constitutes agreement to updated pricing.

6. Subscription

• Auto-Renewal: Subscriptions will automatically renew at the end of each subscription period until cancelled. The renewal charge will be made within 24 hours prior to the end of the current period.
• Cancellation: You can cancel your subscription at any time through your Apple account settings or the App Store. Cancellations will take effect at the end of the current billing period.
• Refunds: All subscription fees are non-refundable. If you cancel your subscription, you will continue to have access to the App until the end of your current billing period.
• Free Trials: We may offer free trials for a specified period. Free trials will automatically convert to a paid subscription unless cancelled before the end of the trial period.
• Pricing Changes: We reserve the right to change subscription prices at any time. Any price changes will be communicated to you in advance. Continued use after a price change signifies your acceptance of the new price.
• Subscription Management: You can manage your subscription, including updating payment information and viewing billing history, through your account settings or the App Store.
• Data and Access upon Cancellation: Upon cancellation, you will no longer have access to the full functionality of the App. We may retain certain data associated with your account as necessary for our legitimate business interests or to comply with legal obligations.

7. Limitations of Liability

Snifty is provided "as-is" with no warranties of any kind. We do not warrant uninterrupted service, error-free operation, or complete accuracy of generated captions or detected features. We are not responsible for any data loss, service interruptions, missed notifications, or damages arising from use of the Snifty App.

8. Intellectual Property and Prohibited Use

Snifty, including its unique functionalities, user interface, workflows, generated content formats, and design elements, are the exclusive intellectual property of Equiti Ventures LLC. Any reproduction, copying, modification, replication, reverse-engineering, or redistribution of Snifty's features or functionality without explicit written consent is strictly prohibited. Violations may result in immediate termination of access and legal action.

9. Prohibited Activities

• Use Snifty for any unlawful, fraudulent, or malicious purpose.
• Attempt to gain unauthorized access to systems or networks related to Snifty.
• Upload content that infringes third-party rights or violates privacy laws.
• Scrape, harvest, or collect information from Snifty for commercial or unauthorized purposes.

10. Age Requirements

You must be at least 13 years old to use Snifty. If you are under 18, you represent that you have received parental or guardian consent to use the App.

11. Indemnification

You agree to indemnify, defend, and hold harmless Equiti Ventures LLC and its affiliates from any claims, damages, liabilities, and expenses arising out of your misuse of Snifty or violation of these Terms.

12. Changes to Terms

We may update these Terms at any time without prior notice. Your continued use after any updates constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA. Any disputes shall be resolved exclusively in the courts located in San Francisco County, California.

14. Acknowledgement and Legal Compliance

• These Terms are between you and Equiti Ventures LLC, not Apple Inc. Apple is a third-party beneficiary of these Terms.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo or listed as a "terrorist supporting" country.
• You must comply with all applicable third-party terms of agreement when using the App.
• Apple has no obligation to furnish maintenance or support services with respect to the App.
• In the event of failure to conform to any warranty, Apple may refund the purchase price of the App, but has no other warranty obligation.
• Equiti Ventures LLC is responsible for addressing product claims and IP infringement claims related to the App.
